Balaclava Elementary School Fundraiser (the "Promotion")

Terms and Conditions

The Promotion is sponsored by TrustedPros Inc. (the "Sponsor") and is subject to the following terms and conditions:

1. When used in these Terms and Conditions the following capitalized terms will have the meaning ascribed to them below:
   
   
1. "Acquaintance" means an individual personally known to a Participant who is a resident of Canada and has reached the age of majority in the province or territory in which he or she resides.
2. "Contribution" means a financial contribution of $5.00.
3. "Contribution Cap" means an amount of $5,000.00.
4. "Designated Organisation" means one of the organisations set forth in Schedule "A".
5. "Participant" means an individual who is a resident of Canada and has reached the age of majority in the province or territory in which he or she resides.
6. "Promotion" has the meaning set forth above.
7. "Promotion Portal" means the web portal located on the Website that is used in conjunction with the Promotion to submit a Valid Review.
8. "Qualifying Contractor" means a contractor with respect to which a Participant, or any other Participant in his or her household, has not already posted a review (whether a Valid Review or otherwise) on the Website.
9. "Qualifying Project" means a home renovation or construction project that was completed, suspended or terminated in the previous five years.
10. "Sponsor" has the meaning set forth above.
11. "Terms and Conditions" means these terms and conditions as they specifically apply to the Promotion.
12. "Valid Review" means an accurate, truthful and non-defamatory review posted by a Participant or an Acquaintance using the Promotion Portal, about a Qualifying Contractor such Participant or Acquaintance has hired in regards to a Qualifying Project, as determined and confirmed by the Sponsor in its sole discretion.
13. "Website" means the website located at https://trustedpros.ca.
2. By accessing the Promotion Portal, by encouraging any Acquaintance to post a Valid Review or otherwise participating or attempting to participate in the Promotion, you hereby agree to be bound by these Terms and Conditions.
3. The Promotion commences on Jun 7, 2016 at 12:00 AM and ends on Mar 31, 2018 at 11:59 PM.
4. For each Valid Review by a Participant or one of his or hers Acquaintances, the Sponsor will make a Contribution to the Designated Organisation of Participant's choice, up to the Contribution Cap for such Designated Organisation.
5. Participants will not adopt any course of conduct that is disruptive in regard to the Promotion or the Website including, without limitation:
1. posting fake, inaccurate or misleading reviews or reviews that in fact constitute SPAM, advertising or other content that does not comprise a Valid Review;
2. colluding with contractors in regards to posting of reviews;
3. attempting to access portions or features of the Website that are not made specifically designated by Sponsor as being available for use by Participants; and/or
4. attempting to circumvent any security measures or features of the Website and/or to misappropriate any information or other content on the Website or relating to the Promotion.
6. Participants will comply with all applicable laws in regards to their dealings with and communications to any third party in regards to the Promotion. Without limitation to the generality of the foregoing, Participants shall not:
1. send SPAM (or other unsolicited electronic communications) to any third party;
2. send any obscene, threatening, harassing, defamatory, hateful, discriminatory or inappropriate e-mails or other electronic communications to any third party;
3. adopt or undertake any conduct that is obscene, threatening, harassing, defamatory, hateful, discriminatory or inappropriate;
4. attempt to gain unauthorized access to any third party equipment or systems;
5. attempt to impersonate the Sponsor in regards to any communication with any third party; and/or
6. suggest that he or she is acting on Sponsor's behalf or with Sponsor's approval.
7. All Contributions will be made in the Sponsor's name. Sponsor will solely enjoy any tax and other benefits associated with Contributions, and any receipt issued by any charitable organisation will be issued in the name of Sponsor. For clarity, Participants and Acquaintance will not have credit for or otherwise receive or be entitled to any benefit in regards to Contributions.
8. The Sponsor may, from time to time in its sole discretion, terminate the Promotion or amend these Terms and Conditions without notice.
9. The decisions of the Sponsor in regards to Valid Reviews and their eligibility for Contributions will be final and not subject to any appeal.
10. The Sponsor makes no representation and there are no warranties or conditions, whether express or implied, in regard to the Promotion and/or the Website and the Sponsor expressly disclaims any warranties or conditions, whether express or implied, in regards to the Promotion and/or the Website including, without limitation, those relating to availability, uninterrupted use, error-free nature, security, non-infringement and the like. Participant's use of the Website and participation in the Promotion is at their sole risk. The Sponsor will not be responsible or liable for any damages of any sort in regards to the Promotion and/or access to, use of or inability to access and/or use the Website including, without limitation, any direct, indirect, special, incidental, consequential or other damages, as well as for loss of data, loss of reputation, depreciation of goodwill, and the like.
11. This Promotion and any matter relating thereto will be governed by the laws of the Province of Ontario and the federal laws of Canada that apply in the province of Ontario. The courts located in the city of Toronto will have exclusive jurisdiction in regards to any dispute relating to the Promotion and any matters relating thereto.
