If you are just planing for a toilet and sink there should be no problem. You have to have proper insulation in the walls and ceiling. I don't think you have ceiling hieght for plumbing for a shower.
This sounds possible, toilets work on gravity so you will have to confirm if a sump pump is needed to get to the septic or sewer connection. You will also have to introduce insulation, heat and ventilation, I would draw up what you are considering and take them into your local building authority.
Everything comes down to time and money! Of course you can convert a cold room or any basement area to a bathroom, but to do it right and legally it must tie into existing drainage & vents to code, exhaust fan, insulation etc. My guess is you are looking at a $$$$$$ bathroom if the spot is not right next to your main stack. Likely better options.
